Do I need a Company Secretary?

According to UK law, you don’t necessarily need a dedicated company secretary, though this is dependent largely on your individual circumstances. There are instances where one will be required.

The law around company secretarial duties has changed in recent years. Since 2008, private limited companies – such as resident management companies (RMCs) have not been obliged to appoint a company secretary unless the company’s Articles of Association document contains a specific reference to the company having a secretary.

Many RMC’s choose to have their appointed property manager assist with Company Secretarial matters. This is where we can help.

What does a Company Secretary do?

Company Secretaries must have the appropriate level of knowledge, accreditation and experience to carry out their duties. These duties can be varied, dependent on the needs of the company they act on behalf of.

Some of the key responsibilities of the secretary could include:

  • Maintaining and managing tasks such as registering past and present directors and secretaries
  • Registering any alterations to the company’s assets
  • Arranging meetings with company directors and shareholders
  • Notifying Companies House of changes to the structure of the business and any important changes to management or directorate
  • Organising company policies around filing and documentation
  • Providing advice to directors on their duties and any applicable legislation
  • Keeping minutes at meetings with other members of the team
  • Filing the company’s annual returns with Companies House

Company secretaries may also carry out additional tasks as required, such as managing payroll, administration, and data protection compliance or health and safety requirements.

When you appoint a company secretary, you must notify Companies House.
